Distressed-company classification — how Firmaradar calculates it

Authoritative methodology documentation for classification of undertakings in difficulty (FIV) under EU Regulation 651/2014 art. 2(18).

Classifier version: 0.17.0 Published: 2026-04-23
Some legal and contractual text is intentionally shown in Norwegian pending legally reviewed translation. The Norwegian wording is authoritative.
Indication based on publicly available data. The FIV classification from Firmaradar is a best-effort-indikasjon, not a legally definitive classification. It is intended as a first-pass triage in a due diligence or state-aid workflow. The customer retains its own duty of care and documentation obligations when granting state aid covered by EEA rules.

1. Legal basis

The FIV classification is grounded in the following sources:

2. Rule-by-rule walkthrough

2.1 Rule (a) — Limited company with accumulated losses > 50% of subscribed share capital

«I tilfelle av et aksjeselskap (bortsett fra en SMB som har eksistert i mindre enn tre år): mer enn halvparten av den tegnede aksjekapitalen har forsvunnet på grunn av akkumulerte tap. For formål i denne bestemmelsen inkluderer «aksjekapital» where relevant eventuell overkurs (share premium).»

Operationalisation

The calculation follows Skatte-ABC F-29.004 § 2.2.4. The key point is that the company’s other equity absorbs the loss BEFORE the threshold is measured — only a negative amount remaining after that is compared with half of the restricted capital.

netto      = opptjent_egenkapital + (innskutt_egenkapital − aksjekapital − overkurs)
distressed = netto < 0  og  |netto| > 0,5 × (aksjekapital + overkurs)

“Share capital” means the SUBSCRIBED amount, not paid-in equity. For the assessed financial year, the XBRL/ESEF IssuedCapital field is preferred when it has a verified matching currency. Otherwise, the Register of Business Enterprises’ current amount is used only when the period safeguard allows it; if both are missing, a visible reservation is shown. Subordinated loans and convertible loans count as debt, not equity.

Interpretation: share premium belongs in the denominator

Share premium carries half weight: with share capital of 30 and a premium of 70, the company may lose up to 50 before the rule applies. The opposite reading — treating the premium as a free reserve that absorbs losses in full — would give 85, a materially more lenient test. The basis is threefold:

  1. GBER art. 2(18)(a) itself defines “subscribed share capital” to include share premium, in the same provision that sets the threshold.
  2. Skatte-ABC F-29.004 § 2.2.4 operationalises this, and its worked example is authoritative: share capital of 30 and a premium of 70 withstand a loss of up to 50.
  3. Statement by the Norwegian Ministry of Finance of 30 October 2020 (Utv. 2020/1086): share premium counts in the same way as share capital.

When the premium is not reported as a separate item we cannot distinguish it from other paid-in equity. The whole of paid-in equity then forms the capital base — the conservative choice. The Register of Company Accounts does not currently report share premium separately in our data, so every assessment takes this route, and the change alters no verdicts as of today.

Data we use

Known limitations

2.2 Rule (b) — Companies with unlimited liability (ANS, DA, KS, shipping partnerships, EOFG)

«I tilfelle av et selskap der minst noen av medlemmene har ubegrenset ansvar: mer enn halvparten av sin kapital som angitt i selskapets regnskap har forsvunnet på grunn av akkumulerte tap.»

The same calculation method and the same threshold as rule (a) — including other equity absorbing the loss first — but with the book partnership capital (from version 0.14.0: plus any registered share premium) as the restricted capital. Rules (a) and (b) are mutually exclusive; the legal form from the Central Coordinating Register determines which one applies:

The rule that does not apply to the company is reported as not_applicable with a reason — this separates “does not apply here” from “we were missing data”.

A European Economic Interest Grouping (EOFG/EEIG) is also assessed under rule (b): under Council Regulation (EEC) No 2137/85 Article 24(1), members have unlimited, joint and several liability for the grouping's obligations — the same test required by GBER Article 2(18)(b). Added 2026-08-06.

How we derive the partnership capital

The source depends on the legal form, in this order:

  1. Capital registered in the Central Coordinating Register, plus registered share premium when that is also reported and positive. This applies to limited partnerships: the partnership capital is registered for every KS in our data, making it the authoritative figure rather than a derivation. ANS, DA and shipping partnerships do not have the field populated.
  2. Paid-in equity when the accounts report that item. Share premium is already inherently part of that figure.
  3. The accounting identity egenkapital − opptjent egenkapital.
  4. Otherwise not_evaluated.

The mechanism is legal-form-agnostic, so EOFG follows the same ladder as ANS/DA/shipping partnerships — but as of 2026-08-06 we have no EOFG entities in our data, so we cannot empirically confirm whether step 1 (registered capital) is populated for this form the way it is for KS.

The step actually used is reported in the output as selskapskapital_kilde, with its own source value registrert_kapital_pluss_overkurs when the share premium was actually added (version 0.14.0). Share premium is formally a limited-company concept, and ANS/DA/KS/PRE normally report no separate share-premium line — the mechanism is therefore forward-looking correctness with no observed effect in today's data.

The assessment is always flagged as unlimited_liability_partial whenever rule (b) is the governing test: the capital is derived, not read from a standardised field. ANS and DA also only become subject to accounting obligations above higher thresholds than AS, so many small companies file no annual accounts. Green status is then blocked — a company we have not run the governing capital-loss test on must not be shown as “FIV: no”.

2.3 Rule (c) — Collective insolvency proceedings / restructuring

«Hvis foretaket er gjenstand for kollektiv insolvensbehandling eller oppfyller kriteriene for å bli satt under slik behandling på kreditorers anmodning.»

Hard FIV trigger

Soft signal

We do not voluntary dissolution (under_avvikling) as an FIV trigger — a solvent company may dissolve voluntarily as part of ordinary restructuring. The 3-year exemption does not apply here; young companies under collective insolvency proceedings are also classified as FIV.

2.4 Rule (d) — Rescue or restructuring aid

«Hvis foretaket har mottatt redningsstøtte og fortsatt ikke har tilbakebetalt lånet eller avsluttet garantien, eller har mottatt omstruktureringsstøtte og fortsatt er omfattet av en omstruktureringsplan.»

Assessed against the Brønnøysund State Aid Register. Registration of rescue and restructuring aid has been mandatory since 2026-01-01. Firmaradar looks the company up in the register. If the lookup answers with no matches, this is read as no aid received and flagged with rescue_aid_assumed_none. If the lookup could not be completed, the answer is different: the criterion is flagged rescue_aid_not_evaluated, and coverage is set to incomplete — we answer «don't know», not «no». Aid granted before 2026-01-01 and not registered retroactively may produce a false negative; check against your own award records.

2.5 Rule (e) — Large company: high leverage and low interest coverage for two years

«I tilfelle av et foretak som ikke er en SMB, hvis de siste to årene: (i) bokført gjeld / egenkapital-forholdet har vært høyere enn 7,5, og (ii) foretakets EBITDA-rentedekningsgrad har vært under 1,0.»

The rule applies only to company_size = "LARGE" under the EU SME definition. Both conditions must be met in both of the two most recent available financial years.

year_n-1: sum_gjeld / egenkapital > 7,5 OG EBITDA / netto rentekostnader < 1,0
year_n: sum_gjeld / egenkapital > 7,5 OG EBITDA / netto rentekostnader < 1,0

When depreciation/amortisation is available, true EBITDA is calculated. When missing, EBIT (operating profit) is used as a proxy — flagged as ebitda_proxy_used. For capital-intensive large companies the difference between EBIT and EBITDA can be material, and proxy hits should be verified manually.

Interest coverage uses net interest expense (interest expense less interest income), per Skatte-ABC F-29.004 § 2.2.4. The data does not isolate interest income from other financial income, so total financial income is used as an approximation — flagged as net_interest_proxy_used. This can somewhat underestimate net interest expense if financial income includes items other than interest.

2.6 Interim balance signal (soft caveat, not a rule)

An interim balance is an auditor-approved financial statement for part of the financial year, typically filed in connection with a merger, capital change, or dividend distribution. BRREG publishes an announcement ('Approved interim balance') when one is filed, but the figures themselves are not included — only a notice that it exists, and only the first page can be downloaded as a non-machine-readable PDF.

How we handle the signal

How the client should interpret the signal

A distressedassessment with interim_balance_published means that the annual accounts triggers FIV, but the company has since filed an interim balance. The probability of an improved position is real but cannot be verified from open data — interim balances are typically filed in connection with corporate actions requiring auditor-confirmed equity, and are expected to show a stronger position than the previous period. The case handler should request the interim balance directly from the company before the support decision is made.

Data we use

2.6.1 Capital-change announcement signal (soft caveat, not a rule, from version 0.15.0)

Skatte-ABC F-29.004 §2.2.4 says a decided, but not yet registered, capital change — an increase OR a decrease — should be taken into account in the FIV assessment. We cannot do this automatically today: neither the amount nor the direction is machine-readable in any source we have access to. BRREG publishes an announcement ("Kapital", "Nedsettelse av kapital", or "Fullmakt kapitalforhøyelse") when a capital-related event is registered, but neither the regular announcement fields nor the underlying structured data contain an amount.

How we handle the signal

How the client should interpret the signal

A company with capital_change_kunngjort has a capital-related announcement newer than the latest annual accounts. This can mean an improvement (capital increase) or a deterioration (capital reduction to cover losses) — the announcement type alone does not distinguish direction. The caseworker should check the company's announcement directly in the Central Coordinating Register before the decision is made.

Data we use

2.7 The 3-year exemption for young SMEs

2.8 The two-level test — assessment at group level

The distress assessment must not be made for the individual company alone. In its clarification to the Norwegian Ministry of Finance (October 2020), the EFTA Surveillance Authority stated that the assessment «shall in principle be made at group level», but «must also be made for the individual company». The Commission's GBER guide likewise states that the assessment is made at the level of the economic unit. A company is therefore in difficulty if either of the two levels is met.

The Norwegian Ministry of Trade, Industry and Fisheries established (19 January 2022) that state-aid law does not operate with a group concept — exemptions from the duty to file consolidated accounts are irrelevant. What matters is whether one undertaking has actual control over another, and actually exercises it. We therefore build the group test on the control-based ownership tree, not on whether consolidated accounts have been filed.

The verdict gains two new forms:

How the group verdict is reached

The three-year exemption precedes the accounting basis in the rule order, but is currently disabled for groups: periodised annual work units (AWU) are unavailable, so group SME status cannot be confirmed and the capital-loss test is still run. The company's own level is assessed separately, and rule (c) always applies.

When the three-year exemption does not decide the outcome, no foreign majority owner has been identified, and the group has filed usable consolidated accounts, the verdict is decided by the capital-loss test on THOSE consolidated figures alone. The group head's own status is not used then — the consolidated accounts already cover the whole group.

When no foreign majority owner has been identified and neither the three-year exemption nor usable consolidated accounts decide the outcome, the usable member inputs are summed and the assessment rests on two signals — and only two:

If both signals are green and at least half the companies have USABLE capital inputs — that is, both a positive capital base and workable equity, not merely an accounting row — the group is cleared. Anything else yields «unresolved». A group level we could not establish can never clear the company.

A third criterion has been removed — and why that matters to you

Until 15 August 2026 a third criterion existed: the share of the group's paid-in capital held by companies that were individually in difficulty. It has been removed, because no legal source describes it. We read GBER art. 2(18), ESA's October 2020 clarification, the Norwegian Ministry of Trade and Industry's letter of 19 January 2022 and Skatte-ABC F-29.004 § 2.2 directly — none of them recognises such a signal.

The criterion could only make the verdict stricter, never more lenient. An assessment issued before classifier version 0.8.0 may therefore have been too strict on this point — never too lenient. The field is still computed and reported as context, but decides nothing.

2.8.1 Size consolidation — SME/LARGE at group level

Whether a company counts as an SME or LARGE is decided by a separate check, distinct from the FIV assessment above. This SME/LARGE status nonetheless governs two of the rules: whether rule (e) is run at all (see 2.5, LARGE only), and whether the 3-year exemption for young undertakings can be granted (see 2.7, SME only). With this change, the check is performed in the same way as the group test in 2.8: if the company is part of an ownership tree built on controlling ownership, the whole tree's figures are counted — not just the company's own.

Why this matters to you

A small subsidiary in a large group that is wrongly counted as an SME on its own figures alone can both escape a rule that should have applied (rule (e), see 2.5) and get an exemption it is not entitled to (the 3-year exemption, see 2.7). This consolidation corrects both error directions — but only for the ownership relationships our data actually covers, see the limitation below.

Known limitation

The rules (in Norwegian law carried forward in the regulation to the Tax Act (FOR-1999-11-19-1158) § 16-40-5) distinguish between two types of ownership relationship: a "linked enterprise" at more than 50% control, counted at 100%, and a "partner enterprise" at 25–50% ownership, which should be counted proportionally by ownership share. Our ownership tree contains only controlling connections above 50% — there is no 25–50% edge in our data. Nor do we store an exact ownership percentage at all, above or below this threshold — only a boolean parent/child relationship. Every connection above 50% is therefore always counted at 100%, even though the real ownership share could be anywhere between 51% and 100%. A company that is 25–49% owned by a large undertaking, or by a public body, is therefore not by this consolidation. This is the same data boundary the rest of the group assessment in 2.8 already operates under.

3.1 The SME definition we use

We follow Commission Recommendation 2003/361/EC (state aid law), nationally codified in the regulation to the Tax Act (FOR-1999-11-19-1158) § 16-40-5, not the Accounting Act thresholds. A company is an SME if employees < 250 and and either revenue ≤ 50 M EUR or balance sheet total ≤ EUR 43 M. Both thresholds are included to cover capital-intensive undertakings with moderate turnover. For undertakings in a group, the threshold applies to the whole ownership tree combined, not just the company's own figures — see 2.8.1.

5. Versioning

The classifier version is reported in output as classifier_version. Current version is 0.17.0. Versions 0.1.0–0.17.0 cover the development sequence before the first approved stable release. The first approved stable release uses 1.0.0. This is a one-time change before product launch; after the change, no version string is reused for a different rule set. The version string is an immutable rule-set stamp, not a sorting key. classifier_version_sequence is the authoritative monotonic order from the manifest; compare this field to determine which rule set is newer. We recommend logging classifier_version, classifier_version_sequence and assessed_at if you use the FIV API in your own case processing.

  1. 0.1.0 — The capital-loss test was revised in line with Skatte-ABC F-29.004, and rule (b) for ANS/DA/KS was introduced.
  2. 0.2.0 — The two-level test was introduced, assessing both the company and the group to which it belongs.
  3. 0.3.0 — The period guard for registered share capital and the treatment of negative paid-in equity were corrected together.
  4. 0.4.0 — Legal form, capital basis, financial size data and registration date were corrected for group members.
  5. 0.5.0 — Historical accounts in euros are assessed using the versioned annual rate for the relevant accounting year.
  6. 0.6.0 — The SME/LARGE basis is consolidated with the group's financial figures, and a controlling public owner disqualifies SME status.
  7. 0.7.0 — (2026-08-15 — a group is no longer cleared on a group head we could not assess. Where the group is assessed on summed company accounts and no other signal triggers, the group head's own status must now be established; if it is unresolved, the verdict becomes «unresolved» rather than «no». See 2.8.)
  8. 0.8.0 — (2026-08-15 — the group assessment now rests on fewer criteria: without an identified foreign majority owner, the capital-loss test on usable consolidated accounts decides alone; where those accounts are unavailable, only fetched member accounts with a positive capital base and usable equity are summed, and the group head's own status is taken into account. An identified foreign majority remains unknown. See 2.8. A third criterion with no basis in the regulations has been removed.)
  9. 0.9.0 — (2026-08-16 — a company no longer receives a final clean assessment when the mandatory group-level assessment is unknown. Such assessments are partial and expose the data gap.)
  10. 0.10.0 — (2026-08-19 — a company no longer receives a final clean assessment when the rescue and restructuring aid registry could not be checked. If the lookup could not be completed, the assessment is partial and exposes the data gap instead of returning a «no». A lookup that answers with no matches still counts as no registered aid, as before.)
  11. 0.11.0 — (2026-08-27 — missing BRREG status is no longer treated as four confirmed negative answers. Bankruptcy and composition status must be explicitly measured before the insolvency rule can be cleared; otherwise the assessment is partial and exposes the data gap.)
  12. 0.12.0 — (2026-09-01 — the insolvency rule's status fields gain a measured coverage basis. The response now separates "no source exists", "the source did not answer for this lookup" and "the source was read and registers nothing", which used to be the same empty value. Composition/debt negotiation has no measured source, and the assessment now says so explicitly instead of leaving it implied.)
  13. 0.13.0 — (2026-09-01 — rule (e)'s interest coverage ratio is now calculated with net interest expense (interest expense less financial income) instead of gross, in line with Skatte-ABC F-29.004 § 2.2.4. Companies with financial income may therefore see a higher coverage ratio than before, and some large companies previously classified as distressed under rule (e) may no longer be.)
  14. 0.14.0 — (2026-09-02 — rule (b) now adds registered share premium to the partnership capital for limited partnerships, when share premium is also reported and positive. The same "share premium as restricted capital" principle rule (a) already has. The effect is stricter, not more lenient: a higher denominator can move a company that previously triggered the rule with only the partnership capital in the denominator below the 50% threshold once the share premium is included.)
  15. 0.15.0 — (2026-09-01 — a BRREG announcement about a capital-related event (capital increase, capital reduction, or authorization for a capital increase) that is newer than the latest annual accounts now downgrades status to "requires manual review". Neither the amount nor the direction is machine-readable from the announcement — the signal warns, it does not correct the verdict automatically.)
  16. 0.16.0 — (2026-09-07 — FIV now uses share capital from the same accounting period when an XBRL/ESEF filing reports it with verified currency. That value takes precedence over current registered capital, which remains a fallback only when the period guard permits it. The correction applies to single responses, batch responses, and group assessments.)
  17. 0.17.0 — (2026-09-07 — when period-safe total equity is available, FIV now applies it directly against restricted capital in rule (a) and rule (b), even if a component is missing or inconsistent. The components remain an audit trail, but cannot change the mechanical capital-loss calculation.)

6. Known risks

  1. Rule (a) — share premium: Not always available; proxy denominator may give an overly tight assessment. Flag: share_premium_unknown.
  2. Rule (b) — ANS/DA/KS/PRE/EOFG: Pragmatic, not legally watertight. Flag: unlimited_liability_partial.
  3. Rule (c) — compulsory dissolution: Soft signal — mixed cause picture. Flag: forced_dissolution_soft_signal.
  4. Rule (d) — rescue aid: A lookup that returns no match is read as no aid received and flagged rescue_aid_assumed_none; a lookup that could not be performed is flagged rescue_aid_not_evaluated. Residual risk: aid awarded before 2026-01-01 was voluntary to register, the aid type is not flagged as a separate category in the register, and awards can lag up to two months behind.
  5. Rule (e) — EBIT proxy: May produce false positives for capital-intensive large companies. Flag: ebitda_proxy_used.
  6. Rule (e) — financial income as an interest-income proxy: Net interest expense can be underestimated if financial income includes items other than interest. Flag: net_interest_proxy_used.
  7. Group — Norwegian ownership only: Foreign parent/subsidiary not covered. Flag: no_foreign_ownership.
  8. Exchange rate: Eurostat's annual average rate for the accounting year actually being assessed (§16-40-5(8)) — not the current daily rate, which would give a company a different answer from day to day.
  9. Interim balance — signal only, no figures: BRREG does not deliver interim balance figures in machine-readable form. When the interim balance is more recent than the last annual accounts, only a signal flag is shown. The assessment may therefore reflect an outdated position. Flag: interim_balance_published.
  10. Capital-change announcement — signal only, neither amount nor direction: A decided, but unregistered, capital change should count per Skatte-ABC §2.2.4, but neither the amount nor the direction (increase/decrease) is machine-readable in any source we have (measured against production data 2026-09-01). When a capital-related announcement is newer than the latest annual accounts, only a signal flag is shown. Flag: capital_change_kunngjort.
  11. Coverage — incomplete: At least one relevant rule was not evaluated, or an otherwise clean company assessment was downgraded by an unknown mandatory group assessment or by group-level doubt with a documented coverage gap. Evidence-backed group doubt with complete data does not change coverage. Flag: coverage_incomplete.

Firmaradar's FIV classification is an information service based on publicly available data. It does not constitute:

The customer is and remains responsible for its own due diligence and documentation obligations when granting public support covered by the EEA state-aid rules. Before support is paid out to a company that is close to the FIV threshold, we recommend an independent review of up-to-date accounts, equity structure, ESA registers of prior aid, group consolidation and any debt negotiations not visible in BRREG.

Errors in the data basis can be reported to support@firmaradar.no. We correct obvious errors promptly and log changes that affect previous classifications.
